Terms of Service

1. Acceptance of Terms

By registering a facility, creating a member or trainer account, or otherwise accessing any part of the Atlas platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use Atlas.

If you are agreeing to these Terms on behalf of a gym, fitness facility, or other organisation, you represent that you have the authority to bind that organisation, in which case "you" refers to that organisation.

2. Description of Service

Atlas is a multi-tenant fitness and booking management platform. Depending on your role, you may access:

• Admin App — facility management for gym owners and staff (bookings, members, plans, subscriptions, transactions), including a front-desk Kiosk mode for check-in via fingerprint, RFID card, PIN, or QR code
• Member App — booking, subscription management, and health profile for gym members
• Trainer App — session and client management for trainers

We may add, modify, or discontinue features at any time. We will make reasonable efforts to notify facility administrators of material changes that affect core functionality.

3. Accounts & Eligibility

You must be at least 16 years old to create an Atlas account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at contact.atlas@vulcanforge.org if you suspect unauthorised access to your account.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

4. Facility (Gym Owner) Obligations

If you register a facility on Atlas, you are responsible for:

• Ensuring your staff are properly trained to use the Admin and Terminal apps
• Obtaining any consents required from members before collecting biometric, health, or HMO data through Atlas
• Maintaining accurate membership plans, pricing, and operation times
• Setting up and maintaining valid payment processor credentials (Paystack) for member billing
• Complying with applicable local laws governing fitness facility operations, health and safety, and data protection
• Promptly resolving disputes with your members regarding bookings, payments, or facility access

Vulcan Forge is a software provider, not a party to the relationship between a facility and its members. We are not responsible for the conduct of any facility, its staff, or the physical safety of any premises.

5. Member Obligations

As a gym member or trainer using Atlas, you agree to:

• Provide accurate booking, health, and payment information
• Use check-in methods (fingerprint, RFID, PIN, QR code) only for your own account
• Comply with the rules and policies of the specific facility you are a member of
• Not attempt to circumvent booking limits, session entitlements, or access controls

Health and fitness information you provide through the Member App is for informational purposes only and does not constitute medical advice. Consult a qualified medical professional before beginning any exercise program, particularly if you have a pre-existing medical condition.

6. Billing & Subscriptions

6.1 Facility Subscriptions

Gym owners subscribe to an Atlas plan (Community, Growth, Pro, or Enterprise) billed via Flutterwave. Fees are charged in advance on a recurring basis according to your selected billing cycle. Plan features and limits are described on our pricing page.

6.2 Member Subscriptions

Gym members pay their facility directly for membership plans via Paystack, processed on the facility's behalf. Vulcan Forge is not a party to this transaction; refunds, cancellations, and disputes for member subscriptions are handled by the facility according to its own policies.

6.3 Non-Payment

If a facility subscription payment fails or is overdue, we may mark the account "Past Due" and, after a reasonable cure period, suspend access to the Admin and Terminal apps until payment is resolved.

6.4 Refunds

Except where required by law, subscription fees are non-refundable. Enterprise engagements may be subject to separately negotiated terms.

7. Acceptable Use

You agree not to:

• Use Atlas for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorised access to another tenant's data, another member's account, or any part of our infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of any Atlas application, except as permitted by law
• Interfere with or disrupt the integrity or performance of the platform, including load-testing or scraping without authorisation
• Upload or transmit malicious code, or use the platform to distribute spam
• Misrepresent your identity or your affiliation with a facility

We reserve the right to investigate and take appropriate action, including suspension or termination, against any account that violates this section.

8. Third-Party Services

Atlas integrates with third-party services, including Paystack and Flutterwave for payment processing, Firebase Cloud Messaging for push notifications, and ZKTeco devices for biometric check-in. Your use of these integrations is also subject to the respective third party's terms of service. We are not responsible for the availability, performance, or acts or omissions of third-party services.

9. Intellectual Property

Atlas, including its software, design, branding, and documentation, is owned by Vulcan Forge and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Atlas applications solely for their intended purpose while your account is active.

You retain ownership of the content and data you submit to Atlas (member records, branding assets, health data, etc.). You grant us a licence to host, process, and display that content solely as necessary to provide the service.

Custom features developed for a specific facility under a negotiated engagement remain gated to that facility's account and will not be exposed to other tenants without separate written agreement.

10. Data & Privacy

Our collection, use, and protection of personal data, including biometric and health data, is described in our Privacy Policy, which is incorporated into these Terms by reference. Each tenant's data is isolated from other tenants at the database level.

11. Termination & Suspension

You may cancel your facility subscription or delete your account at any time through the dashboard or by contacting us. We may suspend or terminate your access to Atlas, with or without notice, if:

• You breach these Terms or our Acceptable Use policy
• Your subscription payment remains unresolved after the applicable cure period
• We are required to do so by law or to protect the security or integrity of the platform

Upon termination, your right to use Atlas ceases immediately. Data retention following termination is governed by the Privacy Policy.

12. Disclaimers

Atlas is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or completely secure.

Health and fitness information presented through Atlas is not medical advice. We make no representations regarding the accuracy of any health data self-reported by members.

13. Limitation of Liability

To the maximum extent permitted by law, Vulcan Forge and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use Atlas.

Our total aggregate liability arising out of or relating to these Terms shall not exceed the amount you paid to us for the Atlas platform in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Vulcan Forge from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of Atlas, your violation of these Terms, or your violation of any rights of a third party, including your facility's members.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise agreed in a separate written Enterprise agreement.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, features, or applicable laws. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the Atlas application or via email at least 14 days before the changes take effect. Your continued use of the Atlas platform after the effective date constitutes your acceptance of the updated Terms.
